CODE OF CONDUCT

Musthane® acts and must act in a responsible and sustainable way, in all markets where it is present. This commitment is vis-à-vis its employees, its customers, suppliers and intermediaries. Our reputation and the trust of our partners (including our investors, customers and suppliers) depend on.

This Code of Conduct defines the responsibilities of employees, intermediaries and suppliers Musthane® vis-à-vis third parties and the environment, as well as the basic principles, they must respect.

Musthane® reserves the right to change the extent reasonable principles of this Code of Conduct.

The commitments required are:

Legal Compliance
We consider legal compliance to be one of our primary duties. As part of our corporate responsibility, we also expect this from our suppliers. As a Musthane® supplier you commit yourself to comply with the laws of the applicable legal system(s).
Prohibition of Corruption and Bribery
Musthane® works against all forms of corruption and no contraventions will be tolerated. We expect that our suppliers tolerate no form of and do not engage in any form of corruption or bribery, including any payment or other form of benefit conferred on any government official for the purpose of influencing decision making in violation of law.
Fair competition, anti-trust laws and intellectual property rights
Antitrust laws prohibit agreements between companies that restrict competition, e.g. price fixing, market or customer allocation, market sharing or bid rigging with competitors, or the abuse of a dominant position in the market. Musthane® has a strict policy to act in compliance with antitrust laws and expects its contractual partners to do the same.

• to respect the intellectual property rights of others.
Conflict of interest
Employees should act in the best interest of their company. Accordingly, employees should have no relationship, financial or otherwise, with anyone that conflicts, or appears to conflict, with the employees’ obligation to act in the best interest of their company.

Respect for the Basic Human Rights of Employees
Musthane® expects its suppliers to respect the basic human rights of employees as defined in the international conventions of the United Nations (UN), the International Labor Organization (ILO), the Organization for Economic Cooperation and Development (OECD) and the UN Global Compact Initiative.
This means that you as our supplier have to, for example:
• respect the personal dignity, privacy and rights of each individual
• comply with the maximum number of working hours laid down in the applicable laws.
Prohibition of Child Labor
Musthane® expects its suppliers to only employ workers with a minimum age of 15 under the ILO Convention 138 in the country where the affected supplier maintains its business establishment.
As a Musthane® supplier you are not allowed to employ workers under the age of 15 or, in those countries subject to the developing country exception of the ILO Convention 138, to employ workers under the age of 14.
Health and Safety of Employees
You have your own minimum requirements for health and safety of your employees and during the supplier selection process you make sure that your suppliers are compliant with these minimum requirements.
This means that you as a supplier have to, for example:
• take responsibility for the health and safety of employees
• control hazards and take the best reasonably possible precautionary measures against accidents and occupational diseases.
Environmental Protection
• act in accordance with the regulations and international standards for environmental protection matters;
• reduce the environmental pollution and make continuous improvements in environmental matters;
Supply Chain
For us it is important that our suppliers are compliant with the principles of our Code of Conduct for Musthane® Suppliers.
We expect our suppliers not only to comply with the Code of Conduct for Musthane® Suppliers in their own organization but also to ensure in turn that their subcontractors adhere to the international standards summarized in the Code of Conduct for Musthane® Suppliers.
